    ​Commercial Contracts Attorney. Reporting to the General Counsel & Corporate Secretary of Allegis Global Solutions, Inc. The Commercial Contracts Attorney will support the commercial agreement activity for Allegis Global Solutions, Inc. and any subsidiary as well as duties assigned from time to time in connection to contracting or any other legal needs.

    Responsibilities

    Essential Functions:
    Candidate will be responsible for supporting the Allegis Global Solutions’ Finance, Contracts, Operations and Business Development teams and primarily supporting AGS. This will include working with the business to: draft, review and negotiate a variety of complex commercial contracts involving outsourced solutions, including master services agreements, statements of work, amendments, service level and service level credit amendments, channel partner agreements, vendor agreements, RFP responses and supporting documentation, developing and maintaining contract templates, developing business and legal processes, and implementing internal policies to help scale the business. The Contracts Attorney will be an integral part of the aforementioned teams and will be looked upon to provide thorough leadership in specific legal and business-related areas associated with AGS.

    The ideal candidate will also have legal knowledge/experience in one or more of the following areas: the staffing/outsourcing industry particularly managed service provider (“MSP”) and outsourcing agreements, global data privacy, domestic and international operations, domestic employment law, and healthcare. The ideal candidate will have handled from inception through conclusion an outsourcing transaction, preferably from the vendor’s standpoint, including negotiating and drafting the relevant documents associated with the transaction.

    In addition, based upon the candidate’s experience and understanding of the ever-changing outsourcing industry, a key role the candidate would be expected to undertake would be to partner with the business to anticipate industry changes and new forms of work and the impact of those changes

    Qualifications

    Minimum Education and/or Experience:

    The successful candidate will have a minimum of 5 years of experience handling a wide variety of complex commercial contract matters and providing practical legal advice and support such as handling real-time negotiations over the phone or in-person on business matters in a fast-paced environment.

    Maryland Bar license is preferred.

    Skills/Abilities:

    Experience in and the ability to perform the work in the areas identified below is critical.

    • Proposals/RFPs – Supporting the Finance, Contracts, Operations, and Business Development teams in the formulation of proposals or responses to RFPs for multi-million-dollar, multi-year contracts with Fortune 500 companies to provide solutions, best practice alternatives, and comments for managing risk.
    • Contracts – Drafting, negotiating, reviewing and providing legal and strategic counsel and input with respect to the company’s contracts with its commercial partners. A robust understanding of and a sophisticated ability to manage and mitigate risk in contracts between services vendors and customers.
    • Contract Management – Supporting the creation and the use of best practices in contract management by developing, recommending, and communicating operating policies and procedural improvements.
    • Demonstrated ability drafting and amending contracts with strong problem-solving skills.
    • Good people skills and the ability to interface with business personnel (non-lawyers) and patiently assist internal clients in their preparation for and negotiation of contract documents as well as providing guidance and practical solutions.
    • Providing superb attention to detail and the ability to ramp-up quickly in new environments and teams.
    • Adapt to conflicting ad hoc deadlines and priorities and deadline demands by controlling the daily management of multiple simultaneous contract initiation or renewal processes.
    • Review of complex and custom contracts to ensure clauses, terms and conditions are compliant with quality, legal, government and other regulation requirements, or mitigate current or future risks.
    • Lead any audits of the contract review processes.
    • Provide advice and guidance on corporate governance and corporate risk management issues.
    • Train business personnel on contract provisions and form agreements, terms and conditions, indemnifications, etc..
    • Identify performance metrics, establish benchmarks and manage their implementation.
    • Outstanding written and verbal communication skills. Candidate must be able to correspond in a professional manner with business personnel and customers.
    • Develop the necessary skills to become a competent generalist including but not limited to those skills involving labor and employment, and potentially, healthcare -related matters.
